Section 1 – Board of Directors – The Society shall be governed by the eleven- member Board of Directors composed of its ten officers and the immediate Past President. A Luren Auxiliary representative shall be invited to attend Board of Directors’ meetings in an ex-officio capacity.
Clause A – Conduct – The Board of Directors shall conduct its affairs in conformance with the provisions of these Bylaws and the Articles of Incorporation of the Luren Singing Society. The Board is authorized to manage the affairs of the Society. However, whenever practical, it is customary for decisions of the Board to be presented at the next Regular Membership Meeting as a recommendation for Chorus Member consideration and voting. If Chorus Members reject a Board of Directors’ decision or recommendation, the Board of Directors shall reconsider the action at the next meeting of the Board of Directors.
Clause B – Attendance – Other Society members may attend Board of Directors meetings, but may participate therein only when asked to do so, and they may not vote at such meetings.
Section 2 – Finance – Funds of the Society shall be under the supervision of the Board of Directors and shall be handled by the Treasurer. The financial records of the Society shall be periodically examined by an Audit Committee (Article VIII, Section 2, and Clause B).
Clause A – The Treasurer need not be bonded.
Clause B – Funds shall be derived from dues, special assessments, work project fundraisers, sales, memorials, contributions, free-will offerings, bequests, and Sangerfest receipts.
Clause C – Funds shall be held in a federally insured account, or invested in as principal-insured instrument unless otherwise approved by the Board of Directors.
Section 3 – Reports – All reports and records necessary for appropriate filing with Federal and State tax authorities shall be maintained and filed as required. These reports may include an annual report of activities and time expended, and calendar year income and expenses with starting and ending balances
Section 4 – Files – The Society shall maintain a file containing a copy of the Articles of Incorporation, Bylaws of the Society, and records from the current and preceding operating years including minutes of Annual Election Meetings, Regular Membership Meetings, Board of Directors’ Meetings, and Special Meetings, correspondence pertinent to Society affairs, committee reports, financial statements and records, and all other material designated as pertinent by the Board of Directors or President.
Section 5 – Compensation – The Board of Directors, with the approval of the Chorus Membership, may pay for services rendered to the Society. The Board of Directors is authorized to hire an accompanist for rehearsal and performance. Guest directors and musicians may be compensated for rehearsals and performance.
